Vince Deluzio has devoted his career to counseling leaders of public companies while under attack through public takeovers or during other crisis decision-making. He understands the critical timing and coordination of issues facing leaders; because in addition to advising them, he has also held positions of leadership. He has been a CEO, a leader in each of the law firms in which he has practiced, and a leader in community and charitable efforts. He is a problem solver-who does not accept the first answer as the final answer.

Advisor During Times of Crisis

For business leaders, a time of crisis can arise whenever an issue critical to the future and viability of the business strikes. Vince’s experience is centered on practicing in the area of complex corporate finance and merger and acquisition law over the past 35 years. He has advised and guided companies — both private and public, through raising capital, examining acquisition and divestiture strategies and implementing them. He has been involved in almost every major public corporate control matter in Pennsylvania during the last 25 years. These roles have positioned him on center stage with New York law firms and investment bankers, and he knows their roles and how to assist in engaging, managing and working with these professionals. He has been involved in advising leaders on how to weigh issues in crisis decisions, as well as how to manage various constituencies through public announcements and the news media.

Leadership

Vince served as a partner, board member, and lead the Corporate Control Group of Buchanan Ingersoll Rooney (formerly, Buchanan Ingersoll), a major Pennsylvania law firm based in Pittsburgh. He was also appointed partner and head of the Corporate Control Group in the major Philadelphia based law firm, Pepper Hamilton LLP. After practicing for 30 years, he left the legal profession in 2002 to become president and chief executive officer of ValuAmerica, a major financial services company in the mortgage industry until 2005, when he co-founded R & V Associates.

Healthcare and Community Service

As managing director of R & V Associates, he is extensively involved with the Diocese of Wheeling Charleston, West Virginia in managing Wheeling Hospital and administering other health care initiatives in the state of West Virginia involving the Diocese of Wheeling Charleston. In addition, Vince serves on the boards of Children’s Hospital of Pittsburgh of UPMC, Children’s Hospital of Pittsburgh Foundation, and The University of Pittsburgh Medical Center (UPMC). Mr. Deluzio spent approximately nine years as a key member of the team assembled for the restructuring of Children’s Hospital of Pittsburgh. He served in a variety of key leadership positions at the Hospital, including key positions on the Board of Trustees’ Executive Committee and the Finance and Investment Committee (serving as chairman). Vince was an integral part of the negotiation on the acquisition of Children’s Hospital of Pittsburgh by UPMC and the resultant agreement to build a state-of-the-art facility for a new Children’s Hospital on the site of the former St. Francis Hospital in the Lawrenceville section of Pittsburgh.

Since January 2006, Messrs. Deluzio and Violi, through R & V Associates, have been involved in the turnaround and management of Wheeling Hospital in Wheeling, WV.

Community

Vince serves on the boards of several non-profit organizations including, The Pittsburgh Opera, the Pittsburgh Italian Scholarship Fund, and Family House.

Background

Vince resides in Pittsburgh with his wife, Rita. Both Mr. and Mrs. Deluzio are active in civic and charitable affairs in Western Pennsylvania. Vince graduated cum laude from the University of Pittsburgh’s College of Arts and Sciences in 1968. He then graduated from the University of Pittsburgh, School of Law in 1972, also cum laude. Vince and Rita have three sons and a daughter. Christopher is a graduate of the U.S. Naval Academy and is an officer in the United States Navy. Mark is a graduate of The Wharton School of Business at the University of Pennsylvania and now works in New York City. Matthew attends the University of Pittsburgh. Vince’s daughter, Meridith, lives in Nashville, Tennessee with her husband Ben and their two children.
